End User License Agreement

1. License Grant

Subject to your continued compliance and timely payment of fees, RAXX BEATS STUDIOS LLC grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use Iona School Alumni Network solely for your internal business or personal purposes during the term of your active subscription or license. No other rights are granted. All rights not expressly granted are reserved.

2. Restrictions

You shall not, and shall not permit any third party to:

• copy, mirror, fork, publish, distribute, sublicense, sell, rent, lease, lend, or otherwise transfer the Software;
• modify, adapt, translate, port, or create derivative works of the Software;
• decompile, disassemble, reverse engineer, or attempt to derive the source code, algorithms, system prompts, internal APIs, or trade secrets, except to the limited extent applicable law expressly prohibits this restriction;
• remove, alter, or obscure any copyright, trademark, watermark, or proprietary notice;
• use the Software or its outputs to train, fine-tune, evaluate, benchmark, or otherwise develop any machine learning, artificial intelligence, large language, or generative model;
• use the Software to build, support, or market a competing product;
• scrape, crawl, harvest, or systematically extract data, content, designs, or interfaces;
• bypass, disable, or interfere with any security, license, authentication, watermark, telemetry, or anti-tamper feature;
• share, resell, or sublicense account credentials;
• use the Software in violation of any law, regulation, or third-party right.

3. Ownership; Trade Secrets

The Software is licensed, not sold. The Software and all intellectual property rights in it are and remain the exclusive property of RAXX BEATS STUDIOS LLC. The Software embodies valuable trade secrets, including source code, internal APIs, algorithms, system prompts, scoring formulas, business logic, schemas, and proprietary datasets. You will hold these in strict confidence and protect them with no less than reasonable care.

4. Telemetry; License Validation

The Software may transmit license, integrity, version, and usage information to RAXX BEATS STUDIOS LLC for license validation, fraud prevention, and security purposes. You consent to this transmission as a condition of the license. The Software may refuse to operate if license validation fails.

5. Updates

RAXX BEATS STUDIOS LLC may push updates, patches, or new versions automatically. RAXX BEATS STUDIOS LLC may modify, suspend, or discontinue any part of the Software at any time.

6. Termination

This EULA is effective until terminated. Your rights terminate automatically and without notice if you breach any term. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control. Sections 2–3, 7–11 survive termination.

7. Disclaimer; Limitation of Liability

The Software is provided “as is” and “as available” without warranty of any kind. RAXX BEATS STUDIOS LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or use.

RAXX BEATS STUDIOS LLC's total cumulative liability shall not exceed the greater of (a) the amount you paid in the twelve months preceding the claim or (b) one hundred U.S. dollars ($100).

8. Equitable Relief

You acknowledge that any breach of Sections 2 or 3 will cause irreparable harm to RAXX BEATS STUDIOS LLC for which monetary damages are inadequate, and that RAXX BEATS STUDIOS LLC shall be entitled to injunctive and other equitable relief without bond or proof of actual damages.

9. Governing Law; Arbitration

This EULA is governed by Florida law. Any dispute arising out of or relating to this EULA is subject to the binding arbitration and class-action waiver provisions in our Terms of Service.

10. Apple / Google Addenda

If you obtained the Software through the Apple App Store or Google Play, the platform-specific addenda in the full EULA document apply. Apple is a third-party beneficiary entitled to enforce this EULA against you.
